Rachel has experience of a variety of corporate and commercial work including acquisitions and disposals, shareholder arrangements, joint ventures, reorganisations and corporate governance. She acts for private companies, including family owned businesses, owner-managed businesses, employee-owned businesses and sporting governing bodies on a wide range of transactions.
Recent deals include:
- Part of the team that advised the founders of leading energy service firm Everwarm on it merger with Lakehouse (creating an enlarged group with annual sales of circa. £240m).
- Part of the team that advised the Indian owned HERO Group on the £77m sale of HEROtsc (now rebranded as Webhelp UK), a UK-wide call centre business, to the French based private equity backed Webhelp group.
- Acting for the vendors on the sale of the entire issued share capital of G & H Engineering Services Limited, a Glasgow based company which manufactures gaskets and other critical components for the oil, gas, food and general engineering sectors, to ERIKS UK, part of the international ERIKS group.
- Advising SWR Developments Limited and Level 2 Entertainments Limited in the sale of the business and assets of the Fat Sams nightclub in Dundee to the Luminar Group, being the UK's largest nightclub operator.
Rachel is also involved in the firm's relationship with sportscotland in advising sports governing bodies in Scotland on a variety of incorporation, constitutional and corporate governance matters.
