We have extensive experience in helping ambitious clients expand their business by way of acquisition, or in selling their business to realise value. There is no deal too small or too big and we work across all sectors.
We advised in the merger of leading Scottish energy services firm Everwarm with the English-based Lakehouse Group, creating an enlarged £240 million group. We negotiated the full suite of M&A and equity and share option documentation. Our team advised Everwarm from its initial start-up investment, becoming trusted advisers to the company’s management team and helping to broker this significant merger.
We carry out a wide variety of strategic restructuring for clients. Whether the driving force is to facilitate further growth, unlock the value of underlying businesses or prepare for an effective exit strategy, we can assist. Examples of common transactions are: intra-group reorganisations; reductions of share capital; and demergers.
We advised on the eight-figure sale of the holding company behind a major Scottish hotel. Certain companies within the group were not to be acquired by the purchaser. This required a corporate restructuring and demerger of a company. We advised on all legal aspects.
We advise on all aspects of general partnerships as well as in relation to the establishment and operation of limited liability partnerships (LLPs) and limited partnerships.
