Harper Macleod Acts in Two of the Biggest Corporate Deals in Scotland This Year

Harper Macleod LLP demonstrated its position as one of Scotland's leading corporate law firms, playing a key role in two of the biggest corporate deals in Scotland this year. 

Harper Macleod acted for the management team in the management buyout of Internacionale Holdings Ltd in a deal worth £35 million - the largest management buyout in Scotland this year.  The business was purchased from its founder Ken Cairnduff, who launched the chain in 1979. 

The deal bucks the trend of firms being sold to buyers form outside Scotland.  Donald Munro, who led the Harper Macleod team, commented:  "The team at Harper Macleod are delighted to have assisted the management team in the largest management buyout in Scotland since January 2005."

In another important transaction, Harper Macleod's Corporate & Commercial Practice Group acted for Tulloch Limited in its sale of its construction business to Rok plc.  Rok, a building and property company based in Milton Keynes, has agreed to pay £31.3 million in cash and shares for the construction business of Tulloch.

As part of the deal, George Fraser, head of Tulloch Construction, will become Rok's Managing Director in Scotland and David Sutherland, Tulloch Groups Chairman, will join the Rok plc board as a Non-Executive Director.
